The boardroom is blinking to life. The room is familiar – executive chairs, polished oak table, the CEO at the head, the board director faces turned to the projection screen.   3. Reputational, legal and strategic stakes. When an AI system mis-fires, it’s not just a technical or isolated failure. It becomes a governance, compliance and brand issue. Recent commentary warns the danger of directors “taking their eye off AI” – leaving the company exposed to regulatory, reputational and litigation risk.

Below is how this journey can be structured into five interconnected layers.

2.1 Board & Executive Oversight

At the top of the governance pyramid sits the board and executive leadership. Their role is not to micro-manage AI models, but to ensure that AI is subject to the same strategic oversight and risk scrutiny as other critical assets.

  • Boards must develop AI competency: according to the National Association of Corporate Directors, board members should have a foundational understanding of AI concepts, the ability to assess how AI impacts the business, and adopt best practices for oversight of AI initiatives.
